LLP Registration

Registering a Limited Liability Partnership (LLP) typically involves several steps and legal requirements.

Here’s an overview of the registration process:

  • Name Reservation: Choose a unique name for your LLP. Check availability and conformity with naming guidelines.

  • Documents Preparation:

    • Prepare the LLP Agreement outlining partners' rights, responsibilities, profit sharing, etc.

    • Prepare incorporation documents including Form 2 (Incorporation Document) and Form 3 (Details of LLP Partners).

  • Filing Forms: Submit Form 1 (Application for reservation or change of name) and other required forms to the Registrar of Companies (ROC).

  • Payment of Fees: Pay the prescribed registration fees based on the LLP's capital contribution.

  • Verification and Approval: The ROC will verify the documents and, if satisfied, will issue the Certificate of Incorporation.

  • LLP Agreement: Execute the LLP Agreement within 30 days of incorporation and file Form 3 with ROC.

  • PAN and TAN: Apply for Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN) after incorporation.

  • Compliance: Ensure compliance with annual filing requirements, such as filing of Annual Return (Form 11) and Statement of Account & Solvency (Form 8).
